7/2002 to Present        Sole practitioner: counsel in the areas of regulatory compliance, contract dispute resolution, and real estate; preparation of title opinions covering oil & gas properties; counsel to the marketing and environmental personnel at the American Ref-Fuel resource recovery facility in Rochester, MA, including negotiating and drafting of long term fuel supply contracts with a total value of over $45 million and developing strategies to maneuver through complex regulatory structure in Massachusetts; counsel to a publicly traded oil and gas with a market value of $230 million, mainly in the area of contract drafting and implementation, lease analysis, and strategies to handle anticipated litigation.

  Guided marketing and environmental personnel through daily operational issues from both legal and business perspective for 6 facilities in 5 states, including anti-trust, municipal procurement, Clean Air Act, RCRA, CERCLA, NSR, and PSD.
  Drafted and negotiated agreement for and successfully closed purchase and sale of 4 different partnership interests in $300 million energy production facility.
  Primary in-house responsibility for complex litigation and administrative actions involving significant environmental issues, including privilege review of internal documents subject to discovery and coordination of outside counsel effort, resulting in 8 favorable district court and administrative agency rulings.
  Drafted and negotiated 15 long-term fuel supply contracts with total value over $60 million.
  Devised and directed program that successfully documented pollution control costs incurred that could be passed through under long term contracts, thus allowing company to recoup in excess of $20 million of costs without legal challenge.

  Primary outside counsel for privately held group of companies, which involved providing legal counsel on leasing, farm-outs, operating agreements, title, division orders, pipeline right-of-ways, trucking, marketing, and being first chair litigator in non-jury trials for division order and marketing disputes involving the companies.
  Drafted joint venture and net profits agreement with Russian joint stock company for the funding of drilling and refining operations in Western Siberia.
  Handled numerous acquisitions of producing domestic and foreign oil and gas properties (total value over $250 million), including drafting letters of intent and purchase and sale agreements, managing and supervising due diligence teams, coordinating outside counsel, reviewing title, preparing opinions (closing and title), and closing transactions.
